Paradigm Biopharmaceuticals (搜索) Ltd has successfully raised $14 million through an institutional placement to advance its Phase 3 osteoarthritis (搜索) clinical trial, significantly exceeding its initial $8 million fundraising target. The Australian biotech company also launched a share purchase plan to raise an additional $2 million from eligible shareholders.
Funding Allocation for Clinical Development
The placement involved issuing 73,684,211 new shares at $0.19 per share to institutional and sophisticated investors, representing a 15.6% discount to Paradigm's last traded price of $0.225. Bell Potter Securities (搜索) and Barrenjoey Markets (搜索) served as joint lead managers for the transaction.
The company has strategically allocated the raised capital across several key areas: $8.4 million will directly support the global Phase 3 PARA_OA_012 clinical trial costs, $2 million will fund New Drug Application (NDA)-related activities, $2.1 million will partially repay the Obsidian Convertible Note Facility, and $1.5 million will cover working capital and capital raising costs.
Phase 3 Trial Progress and Timeline
The PARA_OA_012 trial has achieved significant enrollment progress, with more than 50% of patients already dosed. The company expects to complete full dosing by Q2 2026, with the critical interim analysis scheduled for Q3 2026.
Following the placement completion, Paradigm expects to maintain pro forma cash of approximately $45 million, excluding proceeds from the share purchase plan and any option exercises. This financial position is projected to fund operations through the interim analysis and extend the company's operational runway through the end of 2026.
Management Perspective on Clinical Milestone
Managing director Paul Rennie emphasized the significance of the upcoming interim analysis, stating that the strong investor demand reflected "growing investor confidence" in the Phase 3 program. "This capital raising positions the company to continue executing our global Phase 3 clinical trial through key data milestones, including interim analysis. We believe this is a critical period for the Company as we approach a major value inflection point," Rennie said.
Shareholder Participation and Option Structure
The company has launched a share purchase plan for eligible shareholders registered as of April 24, 2026, allowing individual investments of up to $30,000. The SPP price will be the lower of $0.19 per share or a 2.5% discount to the 5-day volume-weighted average price up to the closing date.
Investors in both the placement and SPP are expected to receive attaching options, subject to shareholder approval at an extraordinary general meeting scheduled for early June 2026. These options carry an exercise price of $0.2375 and expire on the earlier of December 1, 2026, or 20 business days after the interim analysis results announcement. The option structure is designed to align with the interim analysis timeline and provide additional capital opportunities if clinical results prove positive.
