The Commercial Court of Lyon has approved Poxel SA's recovery plan and formally ended the judicial reorganization proceedings that began on August 5, 2025, marking a critical milestone for the clinical-stage biopharmaceutical company developing treatments for metabolic diseases.
The court's decision closes the observation period and confirms Poxel's exit from judicial reorganization proceedings, enabling the company to implement the recovery plan that was presented to shareholders in communications issued in November and December 2025.
"This approval by the Commercial Court of Lyon approves the recovery plan prepared by the Company and its creditors during the observation period is an outstanding news," said Nicolas Trouche, Chief Executive Officer of Poxel. "Such approval enables the company to fast-track its commercial development while assuming the settlement of its liabilities."
Strategic Business Development Initiatives
The recovery plan outlines several key business development priorities focused on maximizing the value of Poxel's drug portfolio. The company plans to establish new partnerships to commercialize Imeglimin in Asia, with priority given to China and countries that do not require additional clinical studies. Imeglimin (TWYMEEG®) is Poxel's first-in-class product that targets mitochondrial dysfunction and is currently marketed for type 2 diabetes (搜索) treatment in Japan by Sumitomo Pharma.
The plan also emphasizes promoting PXL770 for autosomal dominant polycystic kidney disease (搜索) (ADPKD) and leveraging the value of PXL065 for hypertrophic cardiomyopathy (搜索) (HCM). PXL770 is a first-in-class direct adenosine monophosphate-activated protein kinase (AMPK (搜索)) activator being developed for rare diseases including adrenoleukodystrophy (搜索) (ALD) and ADPKD. PXL065, a deuterium-stabilized R-pioglitazone, met its primary endpoint in the streamlined Phase 2 DESTINY-1 trial for metabolic dysfunction-associated steatohepatitis (搜索) (MASH) treatment.
Financial Restructuring and Debt Settlement
The recovery plan includes comprehensive financial restructuring measures designed to strengthen Poxel's capital position. IRIS will provide a €5 million equity line over five years, while IPF (搜索) will contribute new bond borrowings of €3.75 million, in addition to the €2.5 million in bonds issued during the observation period.
The plan addresses outstanding liabilities through structured settlements. Orbimed (搜索) and IPF (搜索) debts will be settled according to their contractual terms, with part of the IPF debt being converted into shares. IRIS will see its financing settled through the exercise of share subscription warrants in compensation for certain receivables, while other creditors will be repaid according to an agreed repayment schedule.
Operational Optimization Strategy
Cost structure optimization represents a key component of the recovery plan. The company will implement further headcount adjustments and rely more heavily on outsourced resources, subject to operational needs and timing. Administrative and audit costs will be significantly reduced, and additional outsourcing of central functions will be implemented to sustainably limit fixed costs.
The plan also includes completion of a capital increase with maintenance of shareholders' preferred subscription rights, open to Poxel shareholders and guaranteed by IPF (搜索), provided it does not exceed 29.9% of the company's share capital following the transaction. A debt-for-equity capital increase held by IPF under the bond loan is intended for IPF Partners, along with the issuance of share subscription warrants for shareholders as part of IRIS financing.
