Processa Pharmaceuticals, Inc. (Nasdaq: PCSA) announced on July 29, 2026, the acquisition of Vidya Therapeutics (搜索), Inc., a clinical-stage biotechnology company, in a stock-for-stock transaction that brings a next-generation Bruton's tyrosine kinase (搜索) (BTK) inhibitor into Processa's pipeline. Concurrently, Processa secured approximately $200 million in an oversubscribed private placement financing from a syndicate of leading healthcare institutional investors and mutual funds.
The centerpiece of the acquisition is VT-7208 (搜索), a CNS-penetrant, covalent BTK inhibitor designed to achieve potent, highly selective, and durable BTK inhibition. Vidya designed VT-7208 to overcome the efficacy and safety limitations of early-generation BTK inhibitor programs, with a selectivity profile intended to minimize off-target kinase activity and potentially reduce hepatotoxicity risk.

Three Parallel Development Programs
Processa plans to advance VT-7208 (搜索) across three indications simultaneously: food allergy (搜索), chronic spontaneous urticaria (搜索) (CSU), and relapsing multiple sclerosis (搜索) (RMS). The company expects to initiate Phase 2 studies in food allergy and CSU in the second half of 2026, and in RMS in the first half of 2027.
BTK is a validated node in B-cell activation, mast cell signaling, and innate immune function, implicating it across autoimmune, allergic, and neuroinflammatory diseases. Vidya believes VT-7208 (搜索)'s dual peripheral and CNS activity positions it to modulate a broad range of diseases.
Phase 1 Data and Clinical Milestones
In a completed Phase 1 clinical trial, VT-7208 (搜索) administered at low milligram doses once daily demonstrated robust and sustained target engagement, validating signaling pathway modulation and showing potential for durable pharmacodynamic activity. The drug exhibited predictable, dose-dependent pharmacokinetics in both the cerebrospinal fluid and periphery. No serious adverse events were observed, and VT-7208 was generally well-tolerated.
Key anticipated clinical milestones include top-line data from the Phase 2 proof-of-concept study in food allergy (搜索) in the second half of 2027, CSU data in the first half of 2028, and RMS data in the second half of 2028. The company's cash and cash equivalents at closing, including gross proceeds from the private placement, are expected to fund operations into the second half of 2029.

Financing and Transaction Structure
The private placement attracted a syndicate of new and existing investors, including Bain Capital Life Sciences (搜索), Janus Henderson Investors, RA Capital Management (搜索), SilverArc Capital, ADAR1 Capital Management, Cormorant Asset Management, Integral Health Asset Management, Marshall Wace, Octagon Capital, Soleus Capital, a large mutual fund, and other institutional investors.
Under the terms, investors will be issued 163,774.679 shares of Series A non-voting convertible preferred stock at a price of $1,221.19 per share, representing $1.22119 per share on an as-converted basis. The private placement is expected to close on July 30, 2026.
The acquisition is structured as a stock-for-stock transaction, with all outstanding equity interests of Vidya exchanged for a combination of 558,398 shares of Processa common stock and 142,744.100 shares of Series A non-voting convertible preferred stock. Following the transactions, legacy Processa stockholders will own approximately 0.9% of common stock, Vidya equity holders approximately 46.0%, and private placement investors approximately 52.6%, each on a fully diluted basis.
Subject to Processa stockholder approval under Nasdaq listing rules, each share of Series A non-voting convertible preferred stock will automatically convert into 1,000 shares of Processa common stock, subject to certain beneficial ownership limitations. A shareholder vote is anticipated in the fourth quarter of 2026.

In addition to advancing VT-7208 (搜索), Processa intends to continue development of its legacy pharmaceutical assets, including PCS499 and PCS12852, while evaluating strategic opportunities to maximize their clinical and long-term value.
