The transaction, which represents a 139.7% premium to Evoke's closing share price on November 3, 2025, has been unanimously approved by the boards of directors of both companies.
The acquisition is structured as a tender offer and is expected to close by the end of 2025, subject to customary closing conditions including the tender of at least a majority of Evoke's outstanding shares. QOL Medical intends to finance the transaction using cash on hand, with no financing condition attached to the deal.
Strategic Focus on Diabetic Gastroparesis Treatment
The transaction centers on Evoke's commercial product GIMOTI (metoclopramide) nasal spray, the first and only FDA-approved nasal spray formulation of metoclopramide for the treatment of acute and recurrent diabetic gastroparesis (搜索) in adults. Diabetic gastroparesis is a gastrointestinal disorder affecting millions of patients worldwide, characterized by delayed gastric emptying that results in serious GI symptoms and systemic complications.

Prior to GIMOTI's FDA approval, metoclopramide was only available in oral and injectable formulations, despite being the only drug currently approved in the United States to treat gastroparesis. The gastric delay caused by gastroparesis can compromise absorption of orally administered medications, making the nasal spray formulation particularly valuable for this patient population.
QOL Medical's Commercial Capabilities

Cooper noted that the company's deep experience in commercializing treatments for GI disorders makes this acquisition "a natural extension of our capabilities and commitment."

Safety Profile and Clinical Considerations
GIMOTI carries important safety considerations, including a boxed warning for tardive dyskinesia (搜索) (TD), a serious movement disorder that is often irreversible. The risk of developing TD increases with duration of treatment and total cumulative dosage. The FDA recommends avoiding treatment with metoclopramide for longer than 12 weeks due to the increased risk of developing TD with longer-term use.
The most common adverse reactions (≥5%) for GIMOTI include dysgeusia, headache, and fatigue. The drug is not recommended for use in pediatric patients due to TD risk and other extrapyramidal symptoms, as well as the risk of methemoglobinemia in neonates.
Transaction Structure and Timeline
Under the merger agreement terms, QOL Medical will initiate a tender offer through a subsidiary to acquire all outstanding shares of Evoke. Upon successful completion of the tender offer, a QOL Medical subsidiary will merge into Evoke, with any remaining shares cancelled and converted into the right to receive the same $11.00 per share price.
Stifel (搜索) is serving as exclusive financial advisor to Evoke, with Latham & Watkins (搜索) providing legal counsel. Hill Ward Henderson is serving as legal counsel to QOL Medical. The transaction is expected to close in the fourth quarter of 2025, subject to the terms of the merger agreement and customary closing conditions.
