In return, Roche will pay Structure's subsidiary Gasherbrum Bio (搜索) $100 million upfront plus royalties in the low-single-digit range on net sales.
Patent Concerns Drive Licensing Deal
According to Leerink Partners analysts, "Roche approached [Structure] for the license after a full analysis of the IP landscape and a need for a license to avoid any potential infringement." The deal appears designed to clear legal uncertainties surrounding CT-996's composition that could have impacted future development and commercialization efforts.
Structure Therapeutics noted that the licensed patents relate specifically to the CT-996 scaffold and "does not encumber any of the Company's ongoing programs, including aleniglipron (搜索)," Structure's own GLP-1 agonist currently in development. The agreement also includes "a covenant not to assert certain potential future patents" related to Genentech's manufacturing and commercialization of its products.
Market Response and Strategic Implications
BMO Capital Markets analysts characterized the agreement as "a mild positive" for Structure, noting it "highlights the strength of Structure's IP protections but represents a muted read-through to the stock." Structure's shares rose 1.96% in after-hours trading to $64, up from a closing price of $62.77.
However, BMO emphasized that "for Structure, Monday's agreement with Roche is not the large Pharma partnership that some Structure owners have been anxiously awaiting."
