The acquisition builds on Xylo's proven commercialization success in Greater China, where the company secured a licensing and distribution agreement with a Shanghai-based medical instruments company in 2019, receiving $3 million upfront. SciSparc aims to replicate this model across high-growth territories including North America, Europe, and Latin America by pursuing exclusive partnerships with leading regional distributors.

Transaction Structure
Under the binding term sheet terms, SciSparc will acquire the complete portfolio of patents, trademarks, know-how, and related intellectual property rights primarily associated with the MUSE™ system. In consideration for these assets, SciSparc will issue ordinary shares representing 19.99% of the company's issued and outstanding share capital as of the closing date. The company retains the discretion to issue pre-funded warrants to purchase ordinary shares in lieu of some or all of the issued shares.
The transaction remains subject to negotiating and signing definitive agreements between SciSparc and Xylo Technologies.
