Sobi Acquires Arthrosi Therapeutics for $950M to Advance Next-Generation Gout Treatment

The acquisition strengthens Sobi's gout franchise by adding pozdeutinurad (AR882), an investigational next-generation URAT1 (搜索) inhibitor currently being evaluated in two fully recruited global Phase 3 clinical studies for progressive and tophaceous gout.
Strategic Expansion in Gout Treatment
The acquisition expands Sobi (搜索)'s pipeline with what the company describes as a highly differentiated Phase 3 asset. Pozdeutinurad is designed to complement Sobi's existing portfolio by targeting patients who are sub-optimally treated with first-line therapies.

Clinical Development Program
Pozdeutinurad has completed Phase 2 studies that demonstrated compelling efficacy with sustained reduction of serum uric acid, dissolution of tophi and a well-tolerated safety profile. The drug is currently being evaluated in two Phase 3 studies, REDUCE 1 and REDUCE 2, which are twelve-month, randomized, double-blind, placebo-controlled studies designed to assess pozdeutinurad's ability to reduce serum uric acid in patients with progressive and tophaceous gout.
Both Phase 3 studies are now fully enrolled, with pivotal data expected in 2026. The once-daily oral URAT1 (搜索) inhibitor is being positioned as a potentially best-in-class treatment for reducing serum urate levels, flares and tophi in patients with progressive gout.
Transaction Details and Financing
The transaction is subject to customary closing conditions and is expected to close in the first half of 2026. Sobi (搜索) plans to fund the upfront payment primarily through debt, utilizing existing credit facilities and a new credit facility provided by Handelsbanken and Danske Bank.
The acquisition is expected to be highly accretive to Sobi (搜索)'s mid- to long-term growth and margin trajectory. Barclays Bank PLC is serving as Sobi's financial advisor, while McDermott, Will & Schulte is acting as legal advisor on the transaction.
Addressing Unmet Medical Need
Gout represents the most common form of inflammatory arthritis, caused by high levels of uric acid that accumulate around joints and tissues, resulting in painful flares. When left untreated, gout can progress to a serious condition with chronic joint damage, reduced mobility, and formation of tophi.
While many patients with chronic gout receive first-line urate lowering therapy, some are sub-optimally treated or do not respond to initial treatments, leading to disease progression. In later stages, uncontrolled gout is associated with higher risks of comorbidities including kidney disease and cardiovascular complications. Despite available treatments, many patients struggle to achieve target uric acid levels, highlighting the need for innovative therapeutic approaches.

The rights to pozdeutinurad in Greater China are held by ApicHope (搜索), while Sobi (搜索) will gain global rights to the asset through the acquisition of the San Diego-based Arthrosi Therapeutics (搜索).
