Tempus retains the option to pay up to 50% of the deal value in cash. The NeXT Personal (搜索) Test: MRD Technology at the Core
The acquisition gives Tempus access to Personalis' NeXT Personal (搜索) cancer (搜索) test, a platform built on minimal residual disease (MRD) technology. MRD testing is designed to detect tiny traces of cancer that may remain after surgery, chemotherapy, or other treatments — traces that can be too small to appear on conventional imaging scans.
The NeXT Personal (搜索) test works by creating a personalized genetic signature of a patient's cancer (搜索). Physicians can then track this signature over time through blood tests, enabling longitudinal monitoring for residual or recurrent disease. This approach represents a growing area of interest in oncology, where early detection of recurrence can meaningfully impact clinical decision-making.
Building on an Existing Partnership
The acquisition is not the first collaboration between the two companies. Tempus invested in Personalis in November 2023 as part of a partnership to co-develop the NeXT Personal (搜索) test. That earlier investment laid the groundwork for the full acquisition now underway.
Tempus CEO Eric Lefkofsky addressed the timing of the deal, stating, "The reason we didn't do this a year or two ago is we wanted to be at the point in the curve where this was going to quickly turn into a really healthy business from a gross profit and a margin perspective."
The transaction is expected to close in late 2026 or early 2027, subject to customary closing conditions and regulatory approvals.
