Loan Extension Details
The agreement covers 93.2% of the total loans from the company's May and August 2025 fundraising rounds, with participating lenders including board members and CEO Diede van den Ouden. In consideration for the 12-month extension, warrant terms have been extended until December 31, 2030, and lenders received 30% additional warrants at the same strike prices as existing warrants (€0.10 and €0.11 respectively).
The additional warrants are subject to a lock-up period until January 1, 2029, unless the share price reaches €0.25 or higher. If all new warrants under the amended agreements are exercised, TME Pharma (搜索) could receive approximately €678k in additional funding through the issuance of 6,584,116 shares, representing approximately 7% dilution.
TME Pharma (搜索) will redeem bonds early on March 11 to bondholders who declined the extension, totaling €163,562.50 including interest.

NOX-A12 (olaptesed pegol) is an anti-CXCL12 (搜索) L-RNA aptamer currently being studied in the GLORIA Phase 1/2 clinical trial for newly-diagnosed brain cancer (搜索) patients who will not benefit from standard chemotherapy. The FDA and German BfArM have approved the design of a randomized Phase 2 trial in glioblastoma (搜索), and TME Pharma (搜索) received Fast Track Designation from the FDA for NOX-A12 in combination with radiotherapy and bevacizumab for glioblastoma treatment.
