Otsuka Acquires Transcend Therapeutics for $1.2 Billion to Advance PTSD Treatment with Breakthrough Therapy TSND-201

Otsuka Pharmaceutical (search) has agreed to acquire Transcend Therapeutics in a deal worth $700 million upfront and up to $525 million in additional sales-based milestone payments, securing access to TSND-201 (methylone), a rapid-acting investigational treatment for post-traumatic stress disorder (search). The acquisition, expected to close in the second quarter of 2026, addresses a critical unmet medical need in a field where no new treatments have been approved for 25 years.
Novel Mechanism Targets Neuroplasticity
TSND-201 represents a fundamentally different approach to PTSD (search) treatment, working through monoamine transporters (search) for serotonin, norepinephrine, and dopamine to rapidly enhance neuroplasticity—the brain's ability to reorganize neural circuits involved in fear memory and emotional regulation. Recent research has demonstrated that changes in neuroplasticity are deeply involved in both the onset and persistence of PTSD symptoms, with alterations in fear-related pathways impairing the ability to relearn safety.
Critically, TSND-201 does not act on the serotonin 5-HT2A receptor (search) that mediates hallucinogenic effects, distinguishing it from psychedelic-adjacent compounds currently in the PTSD (search) development pipeline. By promoting monoamine release and increasing concentrations within the synaptic cleft, the drug achieves rapid and sustained enhancement of neuroplasticity without hallucinogenic properties.
Phase II Trial Demonstrates Efficacy
The drug met its primary endpoint in the Phase II IMPACT-1 trial, a randomized, double-blind, placebo-controlled study that enrolled 65 adults with severe PTSD (search) across 16 sites in the U.S., UK, and Ireland. Participants had CAPS-5 total severity scores of 35 or higher, with a mean age of 43.7 years and included 26 males and 39 females.
The TSND-201 group demonstrated statistically significant improvements in PTSD (search) severity scores from day 10 onward through the end of the 64-day study period compared to placebo. Participants received blinded study drug orally once a week for four weeks and were followed for an additional six weeks. Results were published in JAMA Psychiatry in February 2026.
TSND-201 was generally well tolerated, with the most frequently reported treatment-emergent adverse events including headache, decreased appetite, nausea, dizziness, increased blood pressure, dry mouth, and insomnia. These events were typically transient, occurred on the day of dosing, and resolved within one day.
Breakthrough Designation and Regulatory Progress
Due to its rapid onset of activity and robust effects, the FDA granted TSND-201 Breakthrough Therapy designation in July 2025. Transcend met with the FDA in September 2025 to discuss plans to expedite development and confirm Phase III study design. Patient recruitment for the Phase III trial is currently underway in the U.S.
More than 13 million Americans are estimated to be affected by PTSD (search) each year, yet treatment options remain limited to psychotherapy and two FDA-approved antidepressants: sertraline and paroxetine. Nearly 6 out of every 100 individuals are expected to be diagnosed with PTSD at some point in their lives.
Strategic Expansion in Psychiatry

Pipeline Development
Transcend, founded in 2021 and based in New York City, is also conducting research on novel prodrugs classified as new chemical entities to further improve the balance of efficacy, safety, and tolerability of TSND-201. The company has selected a development candidate and is currently performing non-clinical studies in preparation for an Investigational New Drug application to the FDA.
