Genevant Sciences and Arbutus Biopharma Secure $2.25 Billion Settlement with Moderna Over COVID-19 Vaccine Patent Infringement

Genevant Sciences (搜索) and Arbutus Biopharma Corporation (搜索) announced a landmark $2.25 billion global settlement with Moderna, Inc. to resolve all patent infringement litigation related to the unauthorized use of lipid nanoparticle (LNP) delivery technology in Moderna's COVID-19 (搜索) vaccines, including Spikevax®. The settlement, announced March 3, 2026, represents one of the largest patent settlements in pharmaceutical industry history.
Settlement Structure and Financial Terms
Under the agreement, Moderna will pay $950 million upfront in July 2026, with an additional $1.3 billion payment contingent upon a favorable appellate ruling regarding 28 U.S.C. § 1498 (Section 1498). The contingent payment depends on an appellate court ruling that Section 1498 does not bar Genevant's and Arbutus' claims against Moderna for patent infringement, except for doses characterized by the district court as having gone to U.S. government employees.
Moderna had argued that Section 1498 applies such that U.S. taxpayers should assume liability for its infringement of Genevant's and Arbutus' patents for sales made under government contracts. If the full $2.25 billion is realized, this settlement would be the largest disclosed patent settlement paid in the pharmaceutical industry and the second largest in any industry.
Patent Recognition and Licensing Agreement
As part of the settlement, Moderna consented to entry of a judgment of infringement and of no invalidity of four Genevant/Arbutus patents. The agreement grants Moderna a global non-exclusive license to LNP delivery technology for infectious disease applications and includes a covenant not to sue for certain Genevant/Arbutus patents and Moderna products.

Recognition of Scientific Innovation
Lindsay Androski, President and Chief Executive Officer of Arbutus, emphasized the significance of the settlement in recognizing the foundational work of Arbutus scientists. "Nobel laureates, industry executives, and prominent researchers have long recognized that Arbutus scientists changed the drug development landscape when they invented LNP delivery technology, enabling nucleic acids including mRNA to be used for medicines and opening a new world of possibilities," Androski said.
The settlement specifically acknowledges the contributions of key scientists including Ian MacLachlan, Ed Yaworski, Lloyd Jeffs, Kieu Lam, Lorne Palmer, and Cory Giesbrecht. "Today, Moderna has finally acknowledged the same. This is a transformative outcome for Arbutus as a company, but more importantly, it is a long-overdue recognition that the COVID-19 (搜索) vaccines would never have made it to the world without the seminal work" of these researchers, Androski added.
Ongoing Litigation and Technology Platform
While the Moderna settlement resolves all U.S. and international enforcement actions against that company, Arbutus continues its patent litigation against Pfizer/BioNTech for use of the patented LNP technology in their COVID-19 (搜索) vaccines. The ongoing litigation in the United States follows a favorable Markman ruling issued in September 2025, with Comirnaty sales representing approximately two-thirds of global COVID-mRNA vaccine sales to date.
Genevant Sciences (搜索) has pioneered LNP delivery of nucleic acids for over 20 years, with its LNP platform studied across more than a dozen discrete product candidates. The technology serves as the delivery system behind patisiran, the first and only approved systemic RNA-LNP product, and enables applications including vaccines, therapeutic protein production, and gene editing.
Capital Return Plans
Arbutus announced it is currently evaluating a return of capital to shareholders for the third quarter of calendar year 2026, in conjunction with the upfront payment from the settlement. The company plans to provide additional details during an investor conference call hosted by Roivant on March 3, 2026, at 4:45 p.m. ET.
