The collaboration centers on OncoNano's ON-BOARD polymeric micelle platform, which utilizes ultra pH (搜索)-sensitive polymeric micelles to encapsulate drugs and respond to cellular environments characteristic of various cancers. This nanotechnology approach is designed to leverage pH as a universal tumor target, enabling precise delivery of anti-cancer (搜索) payloads to the tumor microenvironment.
The platform protects therapeutic payloads from degradation in the body, preventing systemic exposure while ensuring specific release into tumor microenvironments. OncoNano's technology is designed to improve both pharmacokinetic and pharmacodynamic properties of various payloads, ranging from small molecules to large biologics through encapsulation and localized tumor targeting.
Collaboration Structure and Financial Terms
Under the agreement terms, OncoNano and Gilead will collaborate to evaluate the stability, selectivity and efficacy of Gilead's drug candidate when encapsulated by the ON-BOARD technology. OncoNano will receive an upfront payment and is eligible for additional near-term preclinical milestones.
The biotech is also positioned to receive development, regulatory and commercial milestones, plus royalties on net sales for the encapsulated asset. Gilead retains the option to expand the collaboration by nominating an additional target for the ON-BOARD technology. Should Gilead exercise this expansion option, OncoNano would be eligible to receive up to an aggregate of $300 million, comprising upfront payments and milestone payments, plus royalties.

The OncoNano partnership comes after Gilead and Arcus Therapeutics (搜索) decided to discontinue their domvanalimab program following disappointing results. The partners terminated the Phase III STAR-221 trial in first-line advanced gastric and esophageal cancers after an interim analysis found no significant improvements in overall survival compared with Bristol Myers Squibb (搜索)'s Opdivo. The companies also terminated the Phase II EDGE-Gastric trial.
