The equity package consists of $213 million in private placement investments and a concurrent $84 million bought deal public offering of subscription receipts. Canada Growth Fund (搜索) Inc. committed $82 million, the Government of Québec through Investissement Québec (搜索) invested $61 million, and global energy company Eni S.p.A. (搜索) contributed $70 million to the private placement.

Combined with previously announced senior project debt facilities of $335 million committed by Export Development Canada (搜索) and Canada Infrastructure Bank (搜索), the equity financing is expected to fully fund the Phase-2 Matawinie Mine and position NMG to advance toward final investment decision (FID) and construction.
NMG has made significant progress on its Phase-2 Matawinie Mine execution strategy in recent months. Construction preparation, engineering, and procurement have advanced with contracts awarded representing over 50% of the project's capital expenditure, within estimates of the company's updated feasibility study conducted in accordance with National Instrument 43-101. Construction manager Pomerleau has begun mobilizing onsite to supervise contractor arrival and preliminary civil works.
Battery Materials Plant Development Advances
The company has acquired a 143,000-square-meter brownfield site adjacent to its greenfield property to build initial production capacity of active anode material dedicated to Panasonic Energy (搜索) Co., Ltd. The 13-ktpa Bécancour Battery Material Plant is targeted to reach FID in the second half of 2026.
The industrial building and associated infrastructure are expected to enable NMG to lower infrastructure costs, optimize capital expenditure per tonne costs for this first stage development, and streamline permitting, engineering, and construction timelines to align the commissioning period with that of the Matawinie Mine.
Shareholder Approval Process and Timeline
The private placement closing is subject to various shareholder approvals in accordance with applicable Toronto Stock Exchange rules and Regulation 61-101 respecting Protection of Minority Security Holders in Special Transactions. Given that Investissement Québec (搜索) and Canada Growth Fund (搜索) each own more than 10% of outstanding common shares, the transaction requires "majority of the minority" approval.
NMG will convene an annual and special meeting of shareholders on May 13, 2026, via webcast to consider the required approvals. Strategic shareholders Panasonic and Mitsui & Co. (搜索), Ltd. have indicated their intention, subject to internal approval, to vote in favor of the Matawinie Mine transaction.
The private placement is expected to close on or about May 15, 2026, while the concurrent public offering is targeted to close on April 16, 2026, subject to customary closing conditions and regulatory approvals from the TSX and New York Stock Exchange.
