Sensei Biotherapeutics has acquired clinical-stage biotechnology company Faeth Therapeutics (搜索) in a strategic transaction that brings the investigational cancer therapy PIKTOR (搜索) into its pipeline, alongside a concurrent $200 million private placement financing to advance the program through key clinical milestones in endometrial and breast cancer (搜索).
Multi-Node Approach to PI3K Pathway Inhibition
PIKTOR (搜索) represents a proprietary investigational all-oral combination of serabelisib and sapanisertib designed to inhibit multiple nodes of the PI3K (搜索)/AKT (搜索)/mTOR (搜索) pathway through PI3K-alpha (搜索) and dual mTORC1 (搜索)/2 targeting. This multi-node approach addresses a fundamental challenge in the field, as explained by Anand Parikh, Co-founder of Faeth Therapeutics (搜索) and new Chief Operating Officer and director of Sensei.
"In the PI3K (搜索) pathway, the field has repeatedly run into the same constraint. Single-node inhibitors force a tradeoff between efficacy and tolerability," Parikh said. "PIKTOR (搜索) is designed to change that tradeoff by inhibiting PI3K-alpha (搜索) and mTORC1 (搜索)/2 simultaneously, and we believe we can achieve more complete pathway suppression with improved tolerability."
Clinical Evidence and Development Timeline
In a completed Phase 1b trial, PIKTOR (搜索) plus paclitaxel demonstrated promising clinical activity with an overall response rate of 47% in response-evaluable patients (n=15) who had received an average of four prior lines of therapy, with a range of 1-12 previous treatments. The response rate increased to 71% in patients with PI3K (搜索) pathway mutations, including three complete responses, two of which occurred in endometrial cancer (搜索) patients with progression-free survival of 26.9 and 20.0 months.
"We saw the signal in our Phase 1b, including a number of complete responses in endometrial cancer (搜索) patients after multiple prior lines of therapy," Parikh noted.
The company expects to use the financing proceeds primarily to advance PIKTOR (搜索) through key clinical milestones, including topline data from an ongoing Phase 2 trial in second-line advanced endometrial cancer (搜索), as well as the initiation of a Phase 1b trial in HR+/HER2- advanced breast cancer (搜索), both expected by year-end 2026.
Strategic Financing and Investor Support
The concurrent private placement financing attracted participation from prominent institutional investors including B Group Capital, Balyasny Asset Management, Columbia Threadneedle Investments, Cormorant Asset Management, Fairmount, Logos Capital, RA Capital Management, Vivo Capital, and multiple leading life sciences funds.

Transaction Structure and Ownership
The acquisition was structured as a stock-for-stock transaction with all of Faeth's outstanding equity interests exchanged for a combination of Sensei common stock and Series B non-voting convertible preferred stock. Following the transactions, equityholders of Sensei immediately prior to the acquisition will own approximately 4.9% of the combined company's common stock, former Faeth equityholders will own approximately 40.8%, and investors in the private placement financing will own approximately 54.3%, calculated on a fully-diluted, as-converted-to-common basis.

Faeth Therapeutics (搜索) was co-founded in 2019 by Anand Parikh and Oliver Maddocks, PhD, with scientific founders including Lewis Cantley, PhD (discoverer of the PI3K (搜索) pathway), Pulitzer Prize-winning physician-scientist Siddhartha Mukherjee, MD, DPhil, Karen Vousden, PhD, Scott Lowe, PhD, and Greg Hannon, PhD.
The combined company will continue advancing Sensei's existing pipeline, including completion of a Phase 1/2 trial of solnerstotug, its V-domain Ig suppressor of T cell activation (VISTA (搜索)) inhibitor, in patients with advanced solid tumors (搜索).
